Terms of Service

Please read these terms carefully before using the Dockit platform. By creating an account, you agree to be bound by these Terms of Service.

1. Acceptance of Terms

By accessing or using the Dockit platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. These Terms constitute a legally binding agreement between you and Dockit Inc. ("Dockit", "we", "us"). These Terms apply to all users of the Platform, including legal clients (law firms and insurers) and medical examiners (providers). Additional terms may apply to specific features or services.

2. Description of Service

Dockit is an online marketplace that facilitates connections between legal clients and independent medical examiners (IME providers) across Canada. The Platform allows clients to submit IME requests, communicate with providers, upload case documents, and receive completed reports — all through a secure digital interface. Dockit is a technology platform only. We do not provide medical services, legal advice, or clinical opinions. All IME reports are produced independently by the provider and represent their professional judgment. Dockit is not responsible for the content, accuracy, or completeness of any IME report.

3. Account Registration

To use the Platform, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Provider accounts are subject to verification. Dockit reserves the right to approve, suspend, or terminate provider accounts at its discretion. Approval requires submission of valid professional credentials and completion of our verification process. You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization.

4. Client Responsibilities

As a legal client, you agree to: — Submit only accurate and complete information in IME requests — Ensure you have appropriate legal authority to share the claimant's personal health information with the Platform and the assigned provider — Comply with applicable privacy laws, including PIPEDA and PHIPA, in connection with all information submitted — Use the Platform only for legitimate IME-related purposes — Pay all fees associated with completed IME requests in accordance with the provider's posted rates and any agreed budget — Not attempt to contact providers directly outside the Platform for matters related to requests initiated through Dockit

5. Provider Responsibilities

As a medical examiner, you agree to: — Maintain a valid, current licence to practise medicine in the applicable jurisdiction — Conduct all assessments in accordance with applicable professional standards and regulatory requirements — Produce IME reports that reflect your independent, objective professional opinion — Acknowledge that your duty in producing an IME report is to the court or adjudicator, not to either party — Keep all case information and claimant data strictly confidential — Respond to client requests within the agreed timeframe — Not engage in fee-splitting or referral arrangements that would compromise your independence — Notify Dockit promptly of any change to your licence status, disciplinary proceedings, or conflict of interest

6. Fees and Payment

Providers set their own hourly rates on the Platform. Clients pre-approve a maximum budget for each IME request. If the provider's billed hours exceed the approved budget, the client will be notified and must approve additional charges before the report is released. Dockit may charge a platform fee for use of the service. Current fee structures are available at dockitime.com/pricing. All fees are in Canadian dollars. Invoicing and payment processing are handled through the Platform. Disputes regarding fees must be raised within 30 days of invoice delivery.

7. Intellectual Property

IME reports produced through the Platform are the professional work product of the provider. Upon delivery and payment, the client receives a licence to use the report for the purposes stated in the IME request. Providers retain the right to be identified as the author of their work. The Dockit platform, including its design, software, and content, is owned by Dockit Inc. and protected by Canadian copyright and intellectual property law. You may not copy, modify, or distribute any part of the Platform without our written consent.

8. Prohibited Conduct

You agree not to: — Use the Platform for any unlawful purpose — Submit false, misleading, or fraudulent information — Impersonate any person or organization — Attempt to gain unauthorized access to any part of the Platform — Use automated tools to scrape, crawl, or extract data from the Platform — Harass, threaten, or abuse other users — Circumvent the Platform to conduct transactions directly with parties you met through Dockit — Upload malicious code or interfere with Platform operations

9. Limitation of Liability

To the maximum extent permitted by applicable law, Dockit shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform or any IME report delivered through it. Dockit's total liability for any claim arising from these Terms or your use of the Platform shall not exceed the fees paid by you to Dockit in the 12 months preceding the claim. Dockit does not warrant that the Platform will be uninterrupted, error-free, or free from harmful components.

10. Indemnification

You agree to indemnify, defend, and hold harmless Dockit and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any third party's rights.

11. Termination

Dockit may suspend or terminate your account at any time for breach of these Terms, fraudulent activity, or any conduct we deem harmful to the Platform or its users. You may close your account at any time by contacting support@dockitime.com. Upon termination, your right to access the Platform ceases. Provisions of these Terms that by their nature should survive termination (including payment obligations, intellectual property, limitation of liability, and indemnification) will survive.

12. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Platform. Continued use of the Platform after changes are posted constitutes acceptance. If you do not agree to updated Terms, you must discontinue use of the Platform.
